Securities and Capital Markets Attorney

An Am Law 200 firm in Manhattan is looking for a senior attorney with experience advising on mergers and acquistions on a contract basis. Candidates should be able to commit onsite in Manhattan; telecommuting/remote is not available. 

This position will start at 20-30 hours per week, and can possibly move to 50+ hours as the deal ramps up. This position will last several months through the end of the IPO.


  • Provide strategic counsel, analysis, and support across the organization on a wide range of issues related to the company's corporate/business organization structure, formation, and daily operations, often involving close work with business leaders and executive management
  • Offer legal advice and assistance relating to corporate finance, venture and debt financing, stock and securities issuances, shareholder voting rights and responsibilities, director and officer duties and liability, capital raises.
  • Offer legal advice and assistance relating to joint ventures, mergers and acquisitions, new business, and asset development, and related tax implications and due diligence.
  • Offer legal advice and assistance relating to provide counsel and assistance with corporate and securities regulatory compliance, management of corporate formalities, and corporate secretarial duties, including drafting of prospectuses, quarterly and annual reports, registration statements, as well has managing securities registrations.
  • Interpret laws, rulings and regulations for businesses.


  • 4-8 years of M&A experience with Am Law 200 firms
  • Experience with IPOs, cross border M&A, and capital markets
  • Has worked with clients on a broad range of corporate and transactional matters
  • Able to advise clients on matters directly related to the IPO and M&A
